License agreement

Updated on October 30, 2026

This agreement describes what you can and cannot do with NiaBend after purchasing it. The free demo version has its own license, in section 9.

1. What is granted

A non-exclusive, non-transferable license to install and use the software on one computer, identified by the signature the program itself computes from Windows.

The license is a right to use. Ownership of the software — code, executables, interface, documentation and trademark — remains with NIA SYSTEMS LTDA, as described on the copyright page.

2. Term

  • By subscription: the right of use follows the monthly or yearly subscription — valid until the end of the paid period plus a 15-day grace period, and extended with each paid charge, on the same machine, without using a transfer. Once renewal is cancelled, it stays valid until the end of the period already paid (plus the grace period) and then expires. Your files remain on your machine.
  • Per period (negotiated offer): when a one-time payment is agreed, the right of use is valid for the agreed period, with no automatic renewal.
  • Perpetual: when purchased, the entitlement has no end date, within the major version purchased. The next major version is a new purchase. Lifetime entitlement does not imply unlimited offline authorization.
  • Periodic authorization: in the simulator, offline authorization lasts up to 7 days, bounded by commercial expiry, and renews automatically each day while the application is connected. This technical issuance does not charge, alter the purchased period or use a transfer.
  • Permanent offline: when available, a lifetime entitlement holder may explicitly choose and confirm this mode. After issuance, the computer does not need to connect for renewals; transfers and returning to periodic mode require support, with no self-service reversal. Machine licenses are handled through support.
  • Earlier licenses: retain the conditions of their issued authorization until an expressly confirmed migration. Replacing a long authorization with periodic mode requires confirmation that the previous authorization was deactivated.

3. Machine transfer

Simulator licenses in periodic mode include two transfers per week, with the allowance resetting on Sunday at midnight in Brasília time. Each confirmed move to another computer uses one transfer; moving there and back uses two. Initial activation and technical renewal do not use this allowance.

When signing in to the simulator on another computer, choose the license and confirm replacement of its link. New authorization can be issued without waiting for the previous computer: when connected, it applies revocation at its next check; when disconnected, it can run until its remaining authorization expires, for at most 7 days. This does not authorize simultaneous use on multiple computers.

Earlier licenses may require the application to confirm deactivation of the old authorization before a new one is released. Machine and permanent offline licenses can only be transferred through support, which will assess the previous deactivation; users cannot transfer these automatically or return to periodic mode themselves. Remote revocation does not immediately reach a disconnected computer.

To another company. The license may not be assigned, sold or passed on to another person or company without our written authorization, not even together with the sale of the machine, the fleet or the company itself. In those cases, talk to support before the sale.

4. What is not allowed

  • Sharing the license between more than one computer.
  • Circumventing, removing or modifying the licensing mechanism.
  • Decompiling, disassembling or reverse engineering the program, or modifying it.
  • Redistributing, reselling or sublicensing the software without written authorization.

5. Updates and support

Updates. While the license is valid, the program tells you when there is a new version for it and installs it at no extra charge. For a perpetual license, this applies within the major version purchased; the next major version is a new purchase (section 2). An update may fix defects or change features, compatibility and requirements; relevant changes are announced in advance. Back up before updating and check the affected processes before going back to production.

Technical validity. Each version has a technical validity of four months, counted from the date it was released. During that time we provide the technical services for it to work according to its specifications (Brazilian Law 9.609/1998, art. 8).

Support. Included in the license: help through the contact form and at [email protected], Monday to Friday, 9 am to 3 pm (Brasília time), with a reply within 5 business days — the time to reply, not to fix. The details are in the support policy. Training, machine setup, on-site validation, custom development and engineering consulting are only part of the supply when purchased separately.

6. Warranty and liability

The software is provided for part preparation. The bend simulation is a prediction calculated from the data the user registered (tooling, machine, material) and is no guarantee that the part will not collide. The user is responsible for checking the result before running it on the machine, and for following all press brake safety procedures.

The program must match its specifications, what was advertised and the legal warranties. If you find a problem, report it to support with the information we need to investigate: we will take the appropriate measure — fix, guidance, replacement, price reduction or refund — according to the purchase and the law. We do not guarantee compatibility with every piece of equipment or file, continuous availability of the online services, total absence of faults or any financial or productivity gain; this does not set aside the advertised features, the safety that can reasonably be expected or the mandatory warranties. In consumer relationships, the rights under the Brazilian Consumer Protection Code apply. The limits of liability are those in section 7 of the terms of use.

7. Termination

The license may be suspended or ended at the end of its term, for non-payment or for a serious, proven breach of this agreement. Whenever appropriate, we tell you the reason and give you a reasonable time to put it right or contest it. In the face of proven fraud, unauthorized access or a concrete security risk, we may block immediately, only as far as needed, and let you know as soon as possible.

What stays yours. Ending the license does not delete or withhold your parts, programs, reports and records: they stay on your computer. With an inactive license, the program still opens the library for viewing and makes backups; editing, importing, simulating and exporting come back with a valid license. Amounts and refunds follow section 5 of the terms of use.

8. Third-party components

NiaBend uses open-source libraries, each under its own license, which applies only to that library and not to NiaBend. The full list — name, version, license, source code address and the text of each license — ships with the program, in the legal/THIRD-PARTY-NOTICES.txt file of the installation folder. In the full program, the STEP module has its own notices in the step/licenses folder.

9. Demo version license

The demo version gets a license of its own, the demo license: free, issued by the site when you sign in with your account from the demo program, one per computer, on up to 3 computers per account. It is valid only in the demo version — the full program does not accept it, and the demo does not accept a paid license.

  • It is an authorization of up to 7 days, renewed automatically over the internet while the demo is available. There is no transfer between computers: each one has its own.
  • Sections 2 (term) and 3 (transfer) do not apply to it; sections 4 (what is not allowed) and 6 (warranty and liability) do.
  • The demo may be ended at any time: the demo license is no longer renewed or is revoked, and the demo stops opening within 7 days. The files you created stay on your computer and open in the full program.
