Terms of use

These terms govern the use of the site and the purchase of NiaBend licenses. By creating an account or purchasing a plan, you agree to them.

1. Who we are

The niabend.com site and the NiaBend software belong to NIA SYSTEMS LTDA, Brazilian company registration (CNPJ) 69.515.575/0001-43, headquartered at Rua Domingos Gionedis, s/nº, Cambuí, Campo Largo – PR, 83607-451, Brazil. Reach us through the contact form or at [email protected].

2. Account

• You are responsible for keeping your password safe and for whatever is done in your account.
• The details you provide must be true — the company name is written into the license.
• We may block accounts that violate these terms.

3. License to use

The purchase grants the right to use the software under the terms of the license agreement, which is part of these terms. Each license is valid for one computer.

4. Payment

How you pay. Sales are made by Paddle, our authorized reseller (merchant of record), in Brazil and abroad, through the payment methods it offers in your country (cards, digital wallets and, in Brazil, Pix). As the reseller, Paddle charges, issues the invoice and handles sales taxes. Prices exclude taxes, in reais in Brazil and in US dollars elsewhere: at payment, Paddle adds the taxes of the buyer's country, where applicable (businesses with a valid tax ID may be exempt, under local law). The currency follows the country set in your account.

Subscription with automatic renewal. The monthly or yearly subscription renews by itself at the end of each period, at the current price, using the payment method on file with Paddle, until you cancel. The summary shown before you subscribe states today's amount, the amount of the following charges and when each discount ends. Each license's right of use follows the subscription: it is valid until the end of the paid period plus a 15-day grace period, and is extended with each paid charge. The daily technical renewal of the offline authorization does not charge, does not restart the contracted period and does not use a transfer.

Cancelling. You can cancel renewal at any time under Account → Billing, without contacting us — or through the contact form, even without signing in. Cancellation applies to the next period: the license stays valid until the end of the period already paid and nothing more is charged. Until then, you can keep the subscription. Each cancellation gets a reference number, sent by email.

Discounts, coupons and special offers. A promotional price — from a coupon or a special offer — applies for the number of charges stated in the summary, counting the first; after that the charge returns to the plan's current full price, with no new purchase. We email you before the first full-price charge. Each coupon has its own rules (validity, usage limit, plans, new subscribers only), shown at checkout, and does not stack with another discount.

Price changes. A price change is announced by email 30 days in advance and applies from the following renewal; if you disagree, you can cancel before it. What has already been paid does not change.

Failed payment. If a renewal charge fails, Paddle retries for a few days and lets you know, and the license keeps working during the 15-day grace period. Without payment, the subscription is cancelled and the license expires at the end of the grace period; there are no fines or interest.

Negotiated one-time offer. When agreed with you, it is charged once, for the agreed amount and period, taxes included, with no automatic renewal.

Invoice. Since Paddle sells the license, Paddle issues the invoice for each charge and sends it to the email given at payment; invoices are also in the Paddle portal, which opens from Account → Billing. We do not issue Brazilian tax invoices (NFS-e).

Receipt. Each purchase is recorded — date and time, IP address, the version of these terms you accepted and the summary shown — and the confirmation is sent by email. The receipt is under Account → Billing.

5. Refunds

Seven days to change your mind. You may withdraw within 7 calendar days of subscribing — or of the first paid charge, if the subscription started with a free period — without giving a reason (Brazilian Consumer Code, art. 49). We refund the full amount through the same method used to pay — even if the license has already been activated — and the subscription ends.

After that. After the 7 days, the current period is not refunded; cancelling renewal avoids the following charges. The exception is a defect in the program that prevents use and that we cannot fix within a reasonable time: in that case we refund the amount proportional to the period you could not use.

What happens to the license. When we refund, we revoke the license on the server and block new activations and transfers. A connected application applies revocation at its next successful check. In periodic mode, a disconnected computer may continue until its remaining authorization expires, limited to 7 days. Permanent offline authorization cannot be removed remotely while the computer is disconnected; support will guide its deactivation. By accepting the refund, you agree to uninstall the program or remove the license.

Card disputes (chargebacks). Before disputing a charge with your card issuer, talk to us: we sort it out here within days. A dispute opened without contacting us revokes the license just like a refund, and the order is recorded as disputed.

6. Availability

In periodic mode, the software works without a connection for the remaining offline authorization period, up to 7 days, and must connect to renew it. Unavailability of the site or issuer may delay activations, transfers and renewals; it does not interrupt a valid authorization or automatically extend its expiry. If authorization expires before service recovers, licensed features remain unavailable until renewal. Permanent offline mode does not depend on this periodic renewal.

7. Limitation of liability

NiaBend calculates, simulates and generates files. Carrying out the bend is up to the machine and whoever operates it. The simulation is a prediction made from the data registered by the user (tool, machine, material) and does not guarantee the absence of collisions.

The program is not a safety device: it does not replace a light curtain, two-hand control or any press brake safety procedure, and the absence of an interference warning does not authorize bringing hands closer.

Each party is liable for the damage legally attributable to it, considering the cause and each party's share in it. No limitation sets aside liability that the law does not allow to be restricted — fraud, willful misconduct, gross negligence, harm to life or physical integrity, data protection — nor the rights under the Brazilian Consumer Protection Code. There is no automatic cap on damages: a limit on financial damages only exists in a business contract, agreed in writing in a separate instrument. The full rules are in clauses 13 and 14 of the license and use terms shown by the installer.

8. AI agent integration

NiaBend has a feature, off by default, that lets AI agents installed on your computer (such as Claude or Codex) use the program: read parts, simulate and propose sequences and, with your permission, save parts and export programs.

• You choose and hire the agent, with its provider. Everything it looks up in NiaBend (drawings and names of parts and folders, machines, tools, simulations and images) goes to the model provider and is subject to that provider's terms and privacy policy. NIA SYSTEMS LTDA does not receive this data and is not responsible for what the provider does with it.
• You turn the feature on and off, revoke connections and stop the agent at any time. Exporting to the CNC always asks for the approval of whoever is at the screen.
• The agent does not move the machine. Check every program made with its help before using it on the machine, like any other program.

9. Demo version

The NiaBend demo version is free, has its own installer and is meant for evaluating the program. It does not include the paid-plan features indicated in the program, among them sending to the CNC, reports, the flat pattern, STEP and DXF import, calibration, machine registration and AI agents, and it limits parts, bends, sections and tools, as stated in the program and on the download page. It is not a purchase: there is no payment or refund, and it does not turn into a paid license by itself.

• Account and license. The demo requires your account signed in to the program and a demo license, which the site issues free of charge for each computer, on up to 3 computers per account, with no transfer between them. The license renews itself every 7 days over the internet; without a connection, the demo works until the authorization already received expires.
• Sending usage data. Using the demo depends on accepting the sending of usage data, linked to your account, requested the first time it opens and described in the demo privacy notice. Without that acceptance the demo does not open; once withdrawn, it stops working on the computer. Accepting these terms is not that acceptance, and the full program does not depend on this sending.
• Ending. NIA SYSTEMS LTDA may end the demo at any time, for one person or for everyone. The demo stops the next time it opens or, without internet, when the authorization expires, within 7 days; when there is a set date, the program gives notice in advance. The files you created stay on your computer and open in the full program.

The license and use terms shown by the installer set out these conditions in clauses 3.7 to 3.10.

10. Governing law and jurisdiction

Brazilian law applies, without prejudice to the mandatory rules of other countries that validly apply. The competent court is the one set by the applicable legal rules, and consumers keep the court the law guarantees them; these terms do not impose a distant court. You may try to solve a problem through our support, but that is not a condition for going to court, to consumer protection bodies or to other authorities, and there is no mandatory arbitration. A choice of court only applies in a specific business contract.
